Subject: AstraZeneca vaccine
Thank you for letting me know that Georgia is interested in purchasing the AstraZeneca vaccine.
The process is not difficult, we need a Non Circumvent/Non-Disclosure Agreement (NC/NDA), Letter of Intent (LOI) on Government letterhead, an Irrevocable Purchase Order (IPO), and the Procurement Fee Agreement (PFA). These documents will be provided for you in template form. Once the above stated documents are returned to us they would be submitted to AstraZeneca for approval. We would then receive a Sales and Purchase Agreement (SPA) directly from AstraZeneca detailing the approval of price, quantity with delivery schedule, lot and batch numbers etc. Once the SPA is signed we have an Agreement.
General Summary:
- The first step is the signing of the NC/NDA by the appropriate officials within the Government of Georgia and all related parties to the transaction.
- The second step is to have a high-level call/communication between the Seller’s mandated Principals and a Georgian Government official/team that will have signing Authority or responsibility for the purchase of the vaccine. *The first and second steps are a requirement.
- Georgia will contract directly with AstraZenca UK.
- AstraZeneca UK must approve the transaction.
- Payment for the vaccine will be made directly to AstraZeneca UK.
- A separate payment will be made to the Seller’s team that facilitated Georgia’s expedited acquisition of the vaccine through a Procurement Fee Agreement (PFA).
- Total cost for the vaccine transaction will be USD $____ per dose. That includes the direct payment for the vaccine to AstraZeneca, plus the separate payment for the Procurement Fee Agreement
- Georgia will receive the vaccine via CIF delivery within 30-45 days after all of the paperwork has been submitted. However, AstraZeneca will inform Georgia of the final delivery schedule. If Georgia doesn’t like the delivery schedule they will not be obligated to close the deal.
- The volume discussed was 2 million, but more can be acquired if required documents are submitted with urgency by Georgia.
- The transaction is only possible due to a special circumstance released allocation
- Communication between all parties will occur in the English language, as well as all required documentation that will be exchanged.
- The process to complete the documents and submit the transaction order to AstraZeneca UK is required to be one week or less.
- My team will provide outstanding service with immediate responses to all communications received from the Government of Georgia, with a timely resolution of any matter presented
- My team will provide the Government of Georgia template documents to ensure effective required verbiage, protocol and Standard Operating Procedures (SOP). Geogia’s Government needs only to review, comment on changes if necessary, sign, seal and return. Utilizing our template documents are required to complete the transaction efficiently and within the target time frame
