Subject: Georgia - Offer from Penlon for Ventilators

Dear Volkan and Maddalena,
I would like to bring to your attention an offer for ventilators from Penlon (www.penlon.com), a worldwide company headquartered in the United Kingdom, focused on the development and manufacture of anesthesia systems and other medical products. The attached Penlon Contract Summary sheet outlines the contracted model, key features, and other contract terms. The Penlon ventilator meets most, but not all, World Health Organization and ECRI (www.ecri.org) developed baseline technical performance specifications for a full ICU ventilator that are provided in Appendix 1 of the Penlon Contract Summary sheet. A more detailed review conducted by ECRI is provided in Appendix 2. Offer prices and further contract details can be found in the attached Registration of Interest Form (ROI Form).
Please note that the Borrower country must confirm their interest in Penlon by completing and returning the attached ROI Form, as described in the attached Penlon Contract Summary Sheet, by Tuesday June 16, 2020. Penlon will then quickly advise the precise lead time (fitting into their production schedule) and a CIP freight and insurance estimate, after which the Borrower has until Tuesday June 30, 2020 to sign a contract to procure.
Pricing: The quoted price is $11,900. The quoted price is in US dollars, includes one-year warranty, and is Ex Works since shipping/airfreight costs vary by destination. CIP prices to be established once destination and unit volume are confirmed.
Payment: 50% of the Contract Price is paid as an Advanced Payment on contract signing,
Terms and 50% of the Contract Price is paid on shipping.
Service: For countries where Penlon has an existing distributer, service during the warranty period will be provided through the local distributer.
For countries where Penlon does not have an existing distributer, Penlon proposes to provide service training to the Borrower country, or their designates, to install and provide service. This service training will be facilitated using a train-the-trainer approach, and will be provided either in the UK, in-country, by video or video link, or web-based. Travel and accommodations are to be paid for by the customer for UK training. In-country service training may be an option for some countries, which Penlon will confirm upon receiving the completed ROI Form.
Note: Your country’s ROI Form will identify whether Penlon can provide servicing to your country through their distribution network (see Appendix A).
Manuals: Printed user and service manuals will be provided with each piece of equipment. Manuals are available in English, French, and Spanish.
Next Steps
1. Borrower country completes and returns the attached Registration of Interest Form (ROI Form) with the following information:
a. Quantity of each product required.
b. Single delivery destination.
c. Identify your country’s accepted contract signing protocols (e.g. e-signature, scanned signature).
2. E-mail the completed ROI Form and send to Mukesh Chawla, copying Gabby and John, by Tuesday June 16, 2020.
3. OPCS will forward the ROI Form to Penlon and draft the contract for the Borrower.
4. OPCS will send the contract to the TTL, copied to the Country Procurement Specialist (CPS), so they can add final local details (e.g. legal name of Purchaser, name of signatory, etc.).
5. TTL (supported by the CPS) presents the final contract to the Borrower for their decision and signature (Note: Contracts are to be signed by Tuesday June 30, 2020). Prior to the signing of the contract, please ensure that the Borrower has signed the Bank Facilitated Procurement (BFP) letter.
6. If the Borrower signs the contract, please send the signed contract to John, copy Mukesh and Gabby.
7. OPCS will work with Penlon and return a signed copy of the contract to the Borrower, copying the TTL.
If the Borrower decides not to proceed or sign the contract (which is fine) please send an email (with the reason) to me, copying Gabby and John.
