I’ve spoken to our finance team and they spoke with the bank. We have never been asked to provide a demand guarantee so this process will take a minimum of 4 weeks for us to generate.

 

If we agree to not require pre-payment, meaning we provide you Net30 or Net45 terms, are we able to proceed with signing the contract and shipping you the kits (hopefully next week)? I have attached the finalized document from our end (updated kit costs with CIP). If you want to modify the finance clauses to state that you don’t have to pre-pay and are eligible for Net30 or Net45, we are okay with this.

 

If you agree to this, please send a PDF copy of the contract and I’ll have our EVP review and sign so we can get this thing going. If you are able to finalize this over the weekend, I will keep an eye on my e-mail so we can finalize this Monday.

Thank you for considering CIP term in the subject contract.

 

I would like to explain the Bank’s requirement on advance payment. In normal investment project, Bank would only allow an advance payment up to 20% with the correspondent demand guarantee (in case of failure to deliver the goods, the purchaser is fully ensured to encash incurred cost).

However, in an emergency project, Bank allowed maximum amount of advance payment to be increased up to 40% with demand guarantee (for insuring the same risk of non-performance of the supplier). In very rear cases and with proper justification, when the supplier is trustful, highly respectable firm, Bank agrees to pay 10% of advance payment without demand guarantee (please note, that it is in very exceptional cases and MoH is taking an uninsured risk).

 

In this particular case, the advance payment paid to your company reaches the maximum allowed percentage – 40% (10%+30%). In which case Bank will not agree to pay this sum without demand guarantee. Normally, suppliers transfer this expense to the purchaser indirectly by including the cost in unit price.

 

Therefore, an advance in the amount of 40% of the total contract price should be insured by bank demand guarantee in the form attached to the invitation letter. Please note that this is not negotiable to the Bank. While we understand that your company is trustworthy and reputable, in the interest of Integrity, Transparency and Fair Treatment, Bank will object any deviation from this requirement.

 

As for the CIP price, you should include it in Price Schedule 1, column 6 and 7 – Unit price CIP and CIP price per line item. The method of calculation varies, but normally, you would take EXW price for line item (all amount), add the transportation and insurance  cost for that line item and divide by number of units. For example, if your EXW price for line item 1 is $143,750 and T&I cost is $10,000, then your CIP cost per line item would be $153,750. To arrive to the CIP price per unit, 150,750/25,000=$6,03.

We have finalized CIP costs including insurance and freight, however I am unsure of how to incorporate the shipping cost on “Price Schedule 1”. Should I take the total shipping cost and divide it by 100,000 units and change the unit price of the kits? It would make sense to divide the shipping cost by 3 and include for each line item on column 8 but the title of this column states “inland shipping in the Purchaser’s country” which is not what this shipping cost is. Can you advise on how this should be written? Since you have the shipping cost on page 13 you can just put it into the Price Schedule 1 as you see fit, and then please send me the finalized PDF of the contract so I can have our EVP sign off on it.

 

In terms of the bank guarantee form, I still don’t really understand why we need this form. We are okay with only accepting 10% pre-payment within 10 days of contract signing. Furthermore, the “beneficiary” on the form would be you, and the “guarantor” would be your choice, so there is nothing on this form for us to fill out. I can give you a call later tonight (early morning for you) if you would like to discuss this further.

I have negotiated your proposed change in World Bank’s standard contract template to the Bank’s management team and agreed that in this particular case removing this clause from the contract would not affect its implementation. Given that the delivery of the goods will start within a month from the contract signature and it will not be a scheduled delivery over the course of several months, Bank agrees to remove Clause 26.2 (termination for convenience) from the standard contract exceptionally for this case.

We are working on getting the CIP incoterms approved. As mentioned on the call yesterday, our standard is to ship FCA so we are trying to work around this.

 

In the meantime, I can provide you with the shipping details. See below.

 

The estimated size of the shipment is: 11 skids in total and total weight is 4,275 lbs.

5 skids @ 51” x 41” x 60”

4 skids @ 48” x 40” x 52”

1 skid @ 51” x 41” x 18”

1 skid @ 48” x 40” x 52”

These could change slightly once we actually have it packed up, but this is a good estimate.

 

25,000 OME-505 would be 125 boxes

25,000 ORE-100 would be 100 boxes

50,000 MO-3 would be 25 boxes

 

If we are to keep clause 10.1 in the contract, we need you to acknowledge that this means you will be responsible for importing the kits into Georgia upon arrival at the airport, and for following any regulations within the country.

 

I have also attached our certificates of exclusivity and equivalency. These should be used in place of the manufacturers authorization forms requested.

 

Please request that the World Bank remove clause 26.2 (Termination for Convenience) as this goes directly against our terms of agreement and we cannot enter into a contract with these terms as they are.

 

If you have details on what needs to be included on the commercial invoice (packaged with the kits) please let me know. I can then confirm with you if these details are included in our standard document. If there are any other documents that you think the Georgian customs office will require to go along with the shipment, please let me know so we note to include them.

 

Please get back to me ASAP about the termination clause so we can move forward. I hope to have the ANNEX 2 finalized tomorrow so we can get your kits to you as soon as possible.

The shipping costs included are an overestimate as we cannot get accurate costs until we know the quantities and number of shipments. I’ve tried to overestimate so your budget will cover the actual costs.

 

In relation to the number of shipments, we will work with you to get you the kits you need on a timeline that works for both parties. We are getting several requests daily for these devices and until we have a signed quote/offer from you, we cannot commit to specific quantities and dates. Smaller bi-weekly or weekly shipments can be arranged to ensure you have sufficient kits available to you and we can work together to ensure your needs are met.

 

In relation to payment terms, we can discuss this is more detail when we receive a contract from your end. We generally ship FCA-Ottawa and prefer to do so for insurance reasons, but let me know what your team comes back with.

Lugar Center is the reference laboratory in the country and we are responsible for all Laboratory network and diagnostic of Covid19 as well.

Our Lab is the part of NCDC and we are making all recommendations, testing protocols and etc.

Today we are doing about 2000  SarsCov2 PCR tests daily using swab samples.

First of all we need to evaluate some different methods using saliva samples and based on that will decide to use this method widely.

 

In addition I am interesting about the price and delivery time after the order will be placed.

I’ll be your point of contact for our molecular products in Georgia, it’s nice to e-meet you!

 

As Laura mentioned, our OM-505 device was recently given an EUA in conjunction with P23 Labs’ TaqPath SARS-CoV-2 assay. Our ORE-100 device is also suitable for COVID applications, and is priced the same as the OM-505, so the choice will be dependant on the format you prefer, or a combination of both.

 

Our ORE-100 (https://www.dnagenotek.com/ROW/products/collection-human/oracollect-rna/ORE-100.html) is the sponge based collector that will yield a sample volume of ~750uL. The OM-505 oral microbiome kit (https://www.dnagenotek.com/ROW/products/collection-microbiome/omnigene-oral/OM-505.html) has a 2mL sample volume (1mL saliva + 1mL stabilizing chemistry).

 

®     What is the quantity you will require on a weekly or monthly basis, and over what time period do you foresee collections?

®     When are you hoping to start testing?

®     Are you evaluating any other methods?

I would like to ask you about the collection device - ORA collect RNA And OM-505. We are using TaqPath SARS-CoV-2 Assay for the covid diagnostic.As I know saliva collection device got EUA from the FDA.  So we would like to use the saliva samples as well
