Dear delegates, 

Thank you for your ongoing engagement with the COVAX Facility. We are writing to follow up on the correspondence that was sent on August 23 and share with you the final version of the Terms and Conditions and the two Commitment Agreement templates:  

• Terms and Conditions: This is the final version of the Terms and Conditions that were shared on August 23 and that serve as a basis for the Commitment Agreement. We have added some additional language to clarify the options and timing of payment, so please do review this version. 

• Two Commitment Agreement templates: These are templates of the legally binding agreement between your Government and Gavi. One template relates to the Committed Purchase Arrangement and one template relates to the Optional Purchase Arrangement. Your Government will only sign the one that you select. A single individualised document will be returned to you following your selection, in the Confirmation of Intent to Participate, of the arrangement (Optional Purchase or Committed Purchase) and the volume of doses you plan to procure through the Facility. We will provide you with your individualised Commitment Agreement after receiving your Confirmation of Intent to Participate on August 31. We will ask you to return the signed Commitment Agreement no later than September 18. The upfront payment and financial guarantee will need to be provided no later than October 9. 

We are also sharing a revised version of the COVAX Facility Options Explainer. This document summarises and further articulates the two options for how a participant may choose to join the Facility, also outlined in the Terms and Conditions. This updated version includes additional details and examples to better clarify the distinctions between the two options. This is not a legal document.
