Thank you for your participation in today’s meeting and for your inputs, much appreciated as always.

 

Sent herewith for ease of reference are the drafts of the proposed revisions and update of the Statutes and the new Operating Procedures (to replace the By-laws).

 

From our explanation in the meeting and with reference to discussions at prior meetings of the Governance Committee, the objective has been to bring more clarity to the Statutes, which are the foundational documents establishing the Gavi Alliance, and to incorporate a number of the provisions of the existing By-laws better suited to be in the Statutes but it is not the intention to revise the principles enshrined in the existing Statutes other than to enhance their utility and efficacy. The Operating Procedures seek to retain the remaining pieces of the existing By-laws not incorporated into the revised Statutes and to embellish these with provisions that reflect our current governance practices and procedures.

 

The Statutes require the prior approval of the Swiss authorities and presented in one of the official languages of the Swiss Federation while the authorities have requested sight of the Operating Procedures to confirm that our plan to retire the By-laws with the introduction of the Operating Procedures accords with their expectations in terms of earlier discussions conducted with them preceding this exercise and shall also be in one of the official languages.

 

It is our intention to present the final drafts to the Governance Committee for review and decision on 18 June and thereafter present to the Board for approval on 24-25 June.

 

With that in mind, we request any comments that you may have on these documents by no later than COB Geneva Tuesday 12 May 2020 as was discussed and agreed at today’s meeting
